These Terms apply to website usage and preliminary interactions only.

2. Use of the Website

2.1 Eligibility

By using our website, you represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If using on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Fees, payment terms, deliverables, and project milestones are specified in the applicable agreement. Payment is due within thirty days of invoice unless otherwise agreed. Late payments may incur interest at 1.5 percent per month or the highest rate permitted by law.

5. Limitation of Liability

To the fullest extent permitted by law, HRP Gen Services LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the website or our services. This includes damages for loss of profits, data, goodwill, or business interruption. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

6. Disclaimer of Warranties

The website and all content and services are provided on an as is and as available basis without any warranties, either express or implied. Neither party is liable for failure or delay in performing obligations due to causes beyond reasonable control, including acts of God, war, terrorism, civil unrest, fire, flood, pandemic, government actions, utility failures, and telecommunications outages. The affected party will notify the other promptly and use reasonable efforts to mitigate impact.

12. Confidentiality

Both parties agree to maintain confidentiality of proprietary information disclosed during any engagement, including business plans, technical data, financial information, client lists, and trade secrets. These obligations survive termination for five years.

13. Changes to Terms

We may revise these Terms at any time by posting the updated version on our website. Changes are effective immediately upon posting. Your continued use after modifications indicates acceptance. Material changes will be communicated through a prominent notice on the website.

14. Severability

If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, the remaining provisions continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

15. Entire Agreement

17. Non-Solicitation

During the term of any client engagement and for twelve months following its conclusion, the client agrees not to directly or indirectly solicit, recruit, or hire any employee, contractor, or consultant of HRP Gen Services LLC who was materially involved in providing services to the client. If the client hires or engages any such personnel in violation of this provision, the client agrees to pay a fee equal to twenty-five percent of that persons annual compensation for the first year of employment or engagement.

18. Subcontracting

HRP Gen Services LLC reserves the right to engage qualified subcontractors or third-party service providers to perform portions of the services, provided that we remain fully responsible for the performance, quality, and compliance of all work delivered. We select subcontractors based on their expertise, credentials, and ability to meet our quality standards. All subcontractors are bound by contractual obligations regarding confidentiality, data protection, and compliance with applicable laws that are at least as protective as those contained in these Terms.

19. Independent Contractor Status

HRP Gen Services LLC acts as an independent contractor and not as an employee, agent, joint venturer, or partner of the client. Neither party has the authority to bind the other or to incur any obligation on behalf of the other. All personnel providing services on our behalf are our employees or contractors and are not considered employees of the client for any purpose including but not limited to tax withholding, benefits, or workers compensation coverage.

20. Compliance with Laws

Each party agrees to comply with all applicable federal, state, and local laws and regulations in performing its obligations under these Terms. This includes compliance with export control laws, anti-corruption and anti-bribery laws, data protection and privacy regulations, labor and employment laws, environmental regulations, and occupational health and safety standards. Each party represents and warrants that it is not listed on any government denied-parties list or subject to any sanctions that would prohibit performance under these Terms.

21. Electronic Communications

By using our website or communicating with us electronically, you consent to receive communications from us by email or through the website. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. Standard data rates may apply depending on your service provider. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

22. Language and Interpretation

These Terms are originally drafted in English. Any translations provided are for convenience only, and the English version governs in all cases. Section headings are for reference only and do not affect the interpretation of any provision. Words importing the singular include the plural and vice versa where the context requires. The word including means including without limitation unless otherwise specified.

23. Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. HRP Gen Services LLC may assign these Terms in whole or in part in connection with a merger, acquisition, reorganization, sale of substantially all assets, or other corporate transaction. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns. Any attempted assignment in violation of this provision shall be null and void.

24. No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Any waiver must be in writing and signed by an authorized representative of HRP Gen Services LLC to be effective. No single or partial exercise of any right shall preclude any other or further exercise thereof or the exercise of any other right.

25. Force Majeure

Neither party shall be held liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond that partys reasonable control. Such causes include but are not limited to acts of God, natural disasters, war, terrorism, civil unrest, strikes or labor disputes, pandemics or epidemics, government actions or orders, utility or telecommunications failures, and disruptions in third-party services. The affected party shall provide prompt written notice to the other party describing the nature and expected duration of the force majeure event and shall use commercially reasonable efforts to mitigate its effects and resume performance as soon as practicable.
